the following LOT 1 – AUCTION 9034

The transfer concerns the business complex called “TERME DELL’ASPIO” as described below. The business complex consists of real estate, movable assets and the service management contract signed with the company I.M.N.T. Terme dell’Aspio S.r.l, as well as the possibility of exploiting the thermal waters referred to in the Mining Concession called “Dell’Aspio” issued to Terme dell’Aspio S.r.l. with Decree of the President of the Marche Region no. 5493 of 19/07/1990 and transcribed at the Provincial Land Office, Real Estate Advertising Services at R.P. 9525 of 20/09/1990. The service management contract between Terme dell’Aspio S.r.l. and the company I.M.N.T. Terme dell’Aspio S.r.l., stipulated on 16/05/2012, with a duration of twelve years, was renewed on 16/05/2024 for a further twelve years, with an initial annual fee of Euro 30,000.00 reduced to Euro 12,000.00 per year from 08/01/2015.
Among the assets included in the scope of the business complex, the photovoltaic system with a power of 368 kW is also transferred.
The transfer of the business complex does not include the credits claimed from the procedure towards third parties or the debts accrued from the procedure towards third parties as indicated in the attached appraisal report to which reference is made.
The Terme dell’Aspio are equipped with four historic salso-bromo-iodic water sources (the so-called “wells”), still active and regularly authorised, except for others located in the cultivation area of ​​the Mining Concession called “Dell’Aspio”. The Mining Concession has a thirty-year duration, pursuant to Legislative Decree 152 of 3 April 2006 which came into force on 29/04/2006 (Consolidated Law on the Environment), the first expiry of which is scheduled for 2036, automatically renewable for a further 30 years pursuant to art. 15 of Regional Law 32/1982 Marche Region (Regulation of research, cultivation and use of mineral and thermal waters of the Marche Region).
The Concession extends over a total original surface area of ​​the cultivation area equal to 7.22.91 ha. This area must be subject to a new perimeter by the successful tenderer.
The four main wells, with ministerial authorization, are the following:
- Sorgente S. Maria: drink in situ, authorization from the Ministry of the Interior dated 09/07/1927;
- Sorgente Regina Coeli:
    drink in situ, authorization from the Ministry of the Interior dated 09/07/1927
    Authorization for inhalation therapy
    Decree of the Ministry of Health No. 2603 of 05/09/1989
    DPGR No. 93 of 17/01/1990
- Sorgente Nuovo: drink in situ, authorization from the Ministry of the Interior dated 09/07/1927;
- Sorgente Forte: in situ drink, clearance from the Ministry of the Interior dated 09/07/1927.
The appurtenances, pursuant to art. 17 of Regional Law 32/1982 serving the Concession are:
- n. 5 wells located in the historic part of the cultivation area;
- n. 3 newly built survey wells, authorized with DGR 3822 dated 16/12/1996 falling within the cultivation area where the photovoltaic system was built;
- the presence of surface drainage serving the 5 historic wells;
- the network of pumping pipes for the dispensing located in the historic building identified with the shape of a “half moon”;
- the supply network to the treatment building with all the distribution systems located in the attic and partly on the ground floor;
- the masonry collection tank (called “grotta”), present in the historic building, for the conservation and distribution of the resource;
- areas of protection of the primary wells with brackish areas in the presence of salsobromoiodic water.

Base price: Euro 625,194.00

Minimum offer: Euro 468,896.00

Minimum tender increase: Euro 5,000.00

It should be noted that during the presentation of the offer and the increase in the event of a tender, the insertion of amounts with decimals is not permitted.

The compensation due to Abilio s.p.a. consists of a commission calculated with a regressive method for brackets on the award value (read the notice of sale).

The electronic purchase offers must be received by the presenters of the offer no later than 12:00 on 21 May 2025 by sending to the PEC address of the Ministry offertapvp.dgsia@giustiziacert.it, using exclusively the pre-filled form available on the ministerial portal http://venditepubbliche.giustizia.it. The electronic offer is considered deposited when the receipt complete with delivery is generated by the certified email manager of the Ministry of Justice.

The asynchronous auction takes place on the website www.venditegiudiziarieitalia.it from 22/05/2025 to 29/05/2025 at 12:00 unless further increases are submitted.
