AGREEMENT WITH PREVENTIVE AGREEMENT PROCEDURE N. 01/2024

Transfer of a company specialized in the installation of public lighting systems, concerning in particular the construction, management and maintenance on behalf of public and private entities, of civil and industrial systems for the production, transport, distribution and use of electrical energy, including electrical and thermal power plants and internal and external lighting systems, transformation cabins, low, medium and high voltage lines.
A company rental contract is in place with effect from 10.1.2022 and ending on 9.30.2025, annual rent equal to €60,000 + VAT, to be paid in 12 monthly instalments.
The Company is made up exclusively of assets (tangible and intangible), contractual relationships and activities, functional to the operation of the Company itself, listed below:
- Real estate
- existing financial leasing and rental contracts;
- movable property and registered movable property, equipment, systems, furnishings, machinery and equipment of the Company;
- existing subordinate employment relationships between the Landlord and the n. 127 (one hundred and twenty-seven) employees;
- professional assignment contract with the technical director;
- existing contracts with customers, including subcontracting contracts;
- insurance contracts;
- the right to make use of the requirements set out in art. 79 of the Presidential Decree n. 207/2010 for SOA qualification (SOA certification n.5368/47/01 dated 10/23/2019;
- qualifications for the categories A01011716 - CABLE LAYING AND INFRASTRUCTURE CONSTRUCTION, A01011717 - SUBAPP NETWORK WORK. ROAD WORKS AND CONSTRUCTION OF UNDERGROUND WORKS, A01011720 - LAV RETE SUBAPP. SUBSCRIBER SYSTEMS AND IMPULSIVE CLEANING;
- company, know-how, signs, trademarks, patents, property rights in general, even de facto (including, inter alia, Internet domains);
- goodwill;
- the set of all corporate and commercial information, technical-industrial and commercial experience and knowledge and skills inherent to the goods;
- databases (paper and/or electronic), including their contents;

Base auction price: Euro 1,168,000.00
Minimum raise: Euro 10,000.00
ASYNCHRONOUS TELEMATIC SALES PROCEDURE

The electronic offers must be received by the presenters of the offer no later than 12:00 on 01/10/2024 by sending them to the PEC address of the Ministry amministrazionepvp.dgsia@giustiziacert.it, using exclusively the pre-compiled form available within the ministerial portal http://venditepubbliche.giustizia.it. The electronic offer is considered deposited when the receipt is generated complete with delivery by the certified email manager of the Ministry of Justice
The asynchronous auction takes place on the website www.venditegiudiziarieitalia.it on 02/10/2024 from 11:00 am onwards and will last two hours, unless further bids are submitted.
