Transfer of 85% of the share capital of the company “Villa Petrischio S.r.l.” (C.F. 06328961005), with registered office in Rome (RM) - 00136, Via Giancarlo Bitossi, 21. The remaining 15% share is owned by SE.FA. S.r.l.
The activity carried out can be summarized as a hotel, tourist and hospitality activity, to be carried out in owned and/or managed complexes.
The share capital of the company is equal to €10,200.00 fully subscribed and paid up.
It should be noted that, on 05.05.2021, the Delegated Judge authorized pursuant to art. 35 L.F. the Receivership to formally renounce the credit claimed by the bankrupt/parent company FIRET towards the investee Villa Petrischio S.r.l., equal to €408,368.03, for shareholder financing.
This participation, therefore, is no longer burdened by this credit in favor of the parent company FIRET.
The sale is conditional on the non-exercise of the right of pre-emption on the purchase of the company shares in favor of the minority shareholder and on the approval of the administrative body, as provided for by the art. 5 of the Company Bylaws and as better indicated in the notice of sale.
