JUDICIAL LIQUIDATION PROCEDURE No. 51/2024

The undersigned Dr. Donata Collini, with office in Prato, Viale Montegrappa n. 55, tel. 0574 595571, e-mail: dcollini@studiocollini.it, curator of the Judicial Liquidation in epigraph (hereinafter the “Procedure”)

WHEREAS

- the Procedure received an irrevocable offer for the purchase of the company for an amount equal to € 235,000.00 (two hundred and thirty-five thousand euros point zero zero);
- the Procedure intends to start a sales experiment, setting the purchase offer received as the starting price for the auction, the methods of which are regulated by the sales specifications.

the following COMPANY COMPENDIUM – SINGLE LOT

Single lot – Auction no. 8988: a company in operation with operational headquarters in Montemurlo (PO), having as its object the processing of textile products in general (warping and weaving on own account and on behalf of third parties), consisting of movable assets instrumental to the exercise of the activity (including, in particular, no. 2 warping machines, no. 20 looms, no. 1 knotting machine, no. 1 trolley for knotting machine, no. 1 compressed air system complete with compressor, air dryer and compressed air tank, no. 2 winding machines, no. 3 hydraulic trolleys, no. 1 hydraulic pallet truck, photovoltaic system, a vehicle, various equipment, etc.), goods, raw materials and semi-finished products, as resulting from the appraisal report drawn up by the expert appointed by the procedure to which reference is made and by the workforce composed at the date of this notice of no. 12 employees, all with permanent contracts, however there may be other changes up to the date of the transfer. For details and information regarding the factual and legal status of the compendium for sale, please refer to the aforementioned appraisal and the appraisal of the economic value of the company drawn up by the consultant appointed by the procedure, declining any responsibility for lack of information by the interested parties.

The company put up for sale is not currently available to the receivership given the validity of a business rental contract stipulated with effect from 01.05.2024, a contract in which the receivership has not taken over but, in agreement with the lessee, the terms for exercising the right of withdrawal have been extended - pursuant to art. 184, co. 1, CCI - for the entire time necessary to carry out the obligations connected to the competitive sale until the transfer of the company. It should be noted that the lessee has undertaken to return the company to the trusteeship within seven days of the simple request in the event that the transfer following the competitive sale is made in favor of third parties, specifying that all the assets subject to rent are in good condition of conservation, maintenance and efficiency with an express commitment to conserve said assets, indemnifying the trusteeship from any liability until the transfer of the company itself. It should be noted that the business is carried out in premises owned by third parties leased to the lessee. Company credits and debts are excluded from the business rental contract.

SINGLE LOT BASE SALE PRICE: €235,000.00

Minimum raise: €5,000.00

ASYNCHRONOUS SALES PROCEDURE
(possibility of receiving offers exclusively electronically, pursuant to art. 24 of Ministerial Decree 32/2015)

Electronic purchase offers must be received by the offer submitters no later than 12:00 on 28/07/2025 by sending them to the Ministry's PEC address offertapvp.dgsia@giustiziacert.it, using exclusively the pre-filled form available on the ministerial portal http://venditepubbliche.giustizia.it. The electronic offer is considered deposited when the complete receipt of delivery is generated by the certified email manager of the Ministry of Justice.

The asynchronous auction will take place on the website www.venditegiudiziarieitalia.it on 07/29/2025 from 11:00 and following hours and will last two hours unless further bids are submitted.
