The Official Receiver of the company RDS MOLDING TECHNOLOGY S.p.a., abbreviated as RDS S.p.a., with registered office in Torreglia (PD),

IT IS FOR SALE IN A SINGLE LOT

- The company branch organized for the exercise of the activity of a) engineering and design of components in plastic material, aluminium, brass and zamak; b) design and production of injection molds for plastic materials, aluminum die-casting, brass die-casting; c) production of technical items in plastic injection and die-cast aluminum parts; d) precision machining; e) surface finishing treatments and assemblies also with components of different materials, currently in temporary operation owned by the bankrupt company RDS MOLDING TECHNOLOGY S.p.a.
- Aluminum Area warehouse, Workshop Area warehouse, Brass and Zama Area warehouse.

set of tangible and intangible assets, rights and legal relationships organized for the exercise of the business activity indicated above and as better described in the appraisal report (and related attachments), prepared on 01/25/2023 and filed in the procedure documents on the same date, by Dr. Renato Bogoni, appointed by the Curatorship with the authorization of the GD, shown below in extract:

(i) fixed assets and movable capital goods;
(ii) active commercial contracts with customers;
(iii) contracts for the supply of goods and/or services with suppliers deemed strategic;
(iv) employment relationships, as listed;
(v) relations relating to the management and organization of the Company (lease contract n. LS1679960 dated 12.11.2018 with a duration of 60 months, concerning the CMZ brand CN lathe model TA20YS-640 stipulated with Unicredit Leasing Spa, rentals , software assistance, utilities) described in the aforementioned report by Dr. Bogoni;
(vii) customer list;
(viii) real estate lease contract where the Company is exercised, concerning the property registered in the land registry as follows: Land Registry, Municipality of Torreglia, Sheet 13, parcel 392, floor T - 1, Category D7, Cadastral income € 4,359, 00=, with related appurtenances thus registered in the Land Registry of the Municipality of Torreglia, Sheet 13, parcels 105,356,167,354, stipulated on 12.30.2013, renewed on 12.31.2019 for a further 6 years at the monthly fee of € 22,000.00, plus VAT and updates ISTAT, calculated on the percentage of 75%, and related addendum dated 12.16.2020 as well as the lessor's commitment dated 01.10.2023. It should be noted that taking over the lease agreement will determine the obligation for the tenant to replenish the security deposit in favor of the lessor;
ix) the warehouse as described in the report by Eng. Battilana and without prejudice to its autonomous valorisation for the purposes of the clearing price. In this regard, at the time of the offer, a lowered price is not envisaged, nor, during the tender, an increase in the consideration and an upward offer with reference to the portion of the price referring to the inventory, since its variable value on the basis of the effective consistency which will be determined prior to the stipulation, as duly detailed in other sections of this deed.

The envelopes containing the offers will be opened in front of the Bankruptcy Trustee, in his office, starting at 16.00 on 05/30/2023. Each bidder is required to present himself on the day and at the time indicated, also to participate in any tender.
